Terms Of Service

By signing up for the Shoprocket service (“Service”) you are agreeing to be bound by the following terms and conditions (“Terms of Service”).
Any new features or tools which are added to the current Service shall be also subject to the Terms of Service. You can review the most current version of the Terms of Service at any time at here. Shoprocket reserves the right to update and change the Terms of Service by posting updates and changes to the Shoprocket website.
You are advised to check the Terms of Service from time to time for any updates or changes that may impact you.

You must read, agree with and accept all of the terms and conditions contained or expressly referenced in these Terms of Service, including Shoprocket’s Acceptable Use Policy (“AUP”) and Privacy Policy.

Account Terms

You must be 18 years or older to use the Shoprocket service.
You must provide your full legal name, current address, a valid email address, and any other information needed in order to complete the signup process.
You are responsible for keeping your password secure. Shoprocket cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password.
You may not use the Shoprocket service for any illegal or unauthorised purpose nor may you, in the use of the Service, violate any laws in your own location (including but not limited to copyright laws) as well as the laws of England and Wales.
You are responsible for all activity and content (data, graphics, photos, links) that is uploaded under your Shoprocket account.
You must not transmit any worms or viruses or any code of a destructive nature.
A breach or violation of any of the Account Terms as determined in the sole discretion of Shoprocket will result in an immediate termination of your services.
If you use PayPal for payments, you must comply with their Acceptable Use Policy.

General Conditions

We reserve the right to modify or terminate the Service for any reason, without notice at any time.
We reserve the right to refuse service to anyone for any reason at any time.
Your use of the Service is at your sole risk. The Service is provided on an ”as is“ and ”as available“ basis without any warranty or condition, express, implied or statutory.
You understand that your Content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit Card information is always encrypted during transfer over networks.
We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
Shoprocket does not warrant that the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, or that any errors in the Service will be corrected.
You expressly understand and agree that Shoprocket shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the service.
In no event shall Shoprocket be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our services or this agreement (however arising including negligence). You agree to indemnify and hold us and (as applicable) our subsidiaries, affiliates, Shoprocket partners, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by Shoprocket.
We do not claim any intellectual property rights over the material you provide to the Shoprocket service. All material you upload remains yours.
By uploading images and item description content to shoprocket.io, you agree to allow other internet users to view them and you agree to allow Shoprocket to display and store them and you agree that Shoprocket can, at any time, review all the content submitted by you to its Service.
The failure of Shoprocket to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Shoprocket and govern your use of Shoprocket, superseding any prior agreements between you and Shoprocket (including, but not limited to, any prior versions of the Terms of Service).
Shoprocket does not pre-screen Content and it is in their sole discretion to refuse or remove any Content that is available via the Service.
You may not modify, remove, hide or otherwise conceal the Shoprocket branding from any part of this service, without an active subscription to the appropriate plan. Any attempt to modify, remove, hide or otherwise conceal the Shoprocket branding without an active subscription to the appropriate plan may result in a suspension or termination of your account.

Shoprocket Rights

We reserve the right to modify or terminate the Service for any reason, without notice at any time.
We reserve the right to refuse service to anyone for any reason at any time.
We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
Verbal or written abuse of any kind (including threats of abuse or retribution) of any Shoprocket customer, Shoprocket employee, member, or officer will result in immediate account termination.
Shoprocket does not pre-screen Content and it is in their sole discretion to refuse or remove any Content that is available via the Service.

Fees

We reserve the right to change our pricing schedule from time to time. Changes to that schedule are effective after we provide you with at least fourteen days' notice by posting the changes on the Site.
You are responsible for paying all fees and applicable taxes associated with our Site and Service (the "Taxes").
Shoprocket shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
All taxes and fees due in your location are to be paid by yourself and not Shoprocket, Shoprocket accepts no liability for any fees or taxes that you are liable for.
Shoprocket does not provide refunds.

Limitation Of Liability

You expressly understand and agree that Shoprocket shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the service.
In no event shall Shoprocket or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our services or this agreement (however arising including negligence). Shoprocket does not warrant that the service will be uninterrupted, timely, secure, or error-free.
Shoprocket does not warrant that the results that may be obtained from the use of the service will be accurate or reliable.
Shoprocket does not warrant that the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, or that any errors in the Service will be corrected.

Waiver And Complete Agreement

The failure of Shoprocket to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Shoprocket and govern your use of the Service, superseding any prior agreements between you and Shoprocket (including, but not limited to, any prior versions of the Terms of Service).

Shoprocket's Trademarks

"SHOPROCKET" is a registered trademark of Shoprocket LTD, duly registered with the United States Patent and Trademark Office (USPTO) and UK Intellectual Property Office (UKIPO) under serial numbers 97400514 and UK0003770418 respectively.

The Shoprocket logo, and any other service marks and trade names of Shoprocket used on the Shoprocket website or as part of the Services are trademarks of Shoprocket LTD.

All other product and company names referred to on the Shoprocket website or as part of the Services are the trademarks or registered trademarks of their respective owners.

By accessing the Shoprocket website and/or Services, you acknowledge and agree that you may not use or register, or otherwise claim rights in, any Shoprocket trademark, including as or as part of any trademark, service mark, company name, trade name, username, domain registration, description or otherwise indication.

You may only use the Shoprocket trademarks when expressly authorised to do so by Shoprocket in writing. Where such authorisation is provided, your use of any Shoprocket trade marks must not:

• (a) mislead consumers as to Shoprocket’s sponsorship of, affiliation with or endorsement of your company or any of its products for services;
• (B) be at odds with our rights or ownership of any Shoprocket trademarks, including our ownership of all goodwill in the trademarks;
• (c) feature the Shoprocket trademarks in association with any content, products, services or otherwise materials that, in our opinion, lessens or otherwise damages Shoprocket’s reputation or the goodwill in our brand, products or services.

Intellectual Property And Customer Content

We do not claim any intellectual property rights over the material you provide to the Shoprocket service. All material you upload remains yours. You can delete your account at any time. This will remove all content you have stored on the Service.
By uploading images and item description content to shoprocket.io, you agree to allow other internet users to view them and you agree to allow Shoprocket to display and store them and you agree that Shoprocket can, at any time, review all the content submitted by you to its Service.
You retain ownership over all content that you submit to a Shoprocket store however, you agree to allow others to view your content.

Cancellation And Termination

You may cancel your account at any time via your dashboard, or by emailing [email protected]
Once your account is cancelled all of your Content will be immediately deleted from the Service. Since deletion of all data is final please be sure that you do in fact want to cancel your account before doing so.
We reserve the right to modify or terminate the Shoprocket service for any reason, without notice at any time.
Fraud: Without limiting any other remedies, Shoprocket may suspend or terminate your account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Site.

Data Security

You are fully responsible for the security of data on your website or otherwise in your possession. You agree to comply with all applicable local laws and regulation in connection with your collection, security and dissemination of any personal, financial, payment card, or transaction information (defined as “Data”) on your website. You agree that at all times you shall be compliant with the Payment Card Industry Data Security Standards (PCI-DSS) and the Payment Application Data Security Standards (PA-DSS), as applicable. The steps you will need to take to comply with PCI-DSS and PA-DSS when using Shoprocket and Stripe will vary based on your implementation. Information on the PCI DSS can be found on the PCI Council’s website. It is your responsibility to comply with these standards.

Legal Disputes

If a dispute arises between you and Shoprocket, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and Shoprocket agree that we will resolve any claim or controversy at law or equity that arises out of this Agreement or our services (a "Claim") in accordance with one of the subsections below or as we and you otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us directly at [email protected] to seek a resolution. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.
The Agreement will be governed by and construed in accordance with the laws of England and Wales; and the courts of England will have exclusive jurisdiction to adjudicate any dispute arising under or in connection with the Agreement

Unlawful Content

You will ensure that the Customer Works does not infringe any applicable laws, regulations or third party rights (“Unlawful Content”).
You will indemnify and will keep indemnified Shoprocket against all damages, losses and expenses (including legal expenses) arising as a result of any claim that the Customer Works constitute Unlawful Content, or any legal proceedings relating to such a claim.
